#Article 1 – Purpose
These terms of use (the "Terms") set out the conditions of access to and use of the website kodyo.ai (the "Site"), including the Kody conversational assistant, published by KODYO SRL ("Kodyo").
Accessing and using the Site implies full and unreserved acceptance of these Terms. If you do not accept them, please do not use the Site.
The services Kodyo provides to its clients are covered by separate contracts, which are not governed by these Terms.
#Article 2 – Definitions
- Site: the website available at kodyo.ai and its subdomains;
- User: any person who accesses and browses the Site;
- Kody: the AI-based conversational assistant made available on the Site;
- Content: all elements present on the Site (texts, images, illustrations, videos, software, databases, etc.);
- Kodyo or Publisher: KODYO SRL, publisher of the Site, whose details appear in the Legal notice.
#Article 3 – Access to the Site
The Site is accessible free of charge to any User with internet access. The costs of access (equipment, software, connection) remain the User's responsibility.
Kodyo endeavours to keep the Site accessible at all times, but reserves the right to suspend, limit or interrupt access at any time, in particular for maintenance or updates, without notice or compensation. Kodyo cannot be held liable for damage resulting from the unavailability of the Site.
#Article 4 – The Kody assistant
#4.1. Nature of the service
Kody is an artificial intelligence system: when you talk to Kody, you are interacting with an automated program and not with a person. Kody is presented as such in the interface, in accordance with the transparency obligations of Regulation (EU) 2024/1689 on artificial intelligence.
Kody's purpose is to present Kodyo, its services and its work, to answer visitors' general questions and to direct them to the team. It is provided for information purposes and free of charge.
#4.2. Limits of the replies
Kody's replies are generated automatically and may contain errors, approximations or incomplete information. They constitute neither a contractual offer, nor a quotation, nor a commitment by Kodyo, nor professional, legal, technical or financial advice. Only written exchanges with the Kodyo team (by e-mail or in a contractual document) bind Kodyo.
The User remains solely responsible for the use made of information obtained through Kody and is invited to verify it with the team before any decision.
#4.3. Reasonable use
The use of Kody is capped (number of messages per conversation and per day) in order to keep it available to everyone. The User shall not use Kody for purposes unrelated to discovering Kodyo's services, attempt to divert its operation, extract its instructions, generate unlawful or hateful content or content harmful to third parties, or query the assistant in an automated manner.
#4.4. Data
Conversations with Kody are processed by artificial-intelligence providers and retained by Kodyo under the conditions described in the Privacy policy. The User is invited not to share sensitive or confidential data in them.
#Article 5 – Intellectual property
#5.1. Ownership
All elements making up the Site are protected by Book XI of the Belgian Code of Economic Law and by the international conventions on intellectual property. These elements are the exclusive property of Kodyo or are used under licence. The trademarks, logos and content of Kodyo's clients presented as references remain the property of their owners.
#5.2. Prohibitions
Any reproduction, representation, modification, publication, distribution, adaptation or exploitation, in whole or in part, of the elements of the Site, by any process and on any medium whatsoever, is prohibited without Kodyo's prior written consent. The extraction or substantial reuse of the Content, including for the purpose of training automated systems, is prohibited.
#5.3. Exception
The User may consult the Site and reproduce short extracts for strictly personal, non-commercial purposes, with acknowledgement of the source.
#Article 6 – User obligations
The User undertakes to use the Site in accordance with its purpose, these Terms and the legislation in force. In particular, the User shall not:
- transmit, through the forms or the assistant, unlawful, defamatory, abusive content or content infringing the rights of third parties;
- impair the operation or security of the Site, in particular by introducing malicious programs, deliberately overloading the services or circumventing its protection measures;
- collect information about other users or about the Kodyo team without their consent;
- use the Site, its forms or the assistant for unsolicited prospecting;
- impersonate a third party.
#Article 7 – Limitation of liability
#7.1. Information
Kodyo endeavours to publish accurate and up-to-date information, without however guaranteeing its accuracy, completeness or currency. The information on the Site, including Kody's replies, is provided for guidance only and does not constitute professional advice.
#7.2. Operation
Kodyo does not guarantee the uninterrupted availability of the Site, the absence of errors or harmful components, or its compatibility with all equipment.
#7.3. Scope
Kodyo may only be held liable in the event of proven fault, and its liability is limited to direct and foreseeable damage, excluding any indirect damage (loss of profit, data or clientele, commercial or reputational harm). This limitation does not apply in the event of wilful misconduct or gross negligence by Kodyo, to damage resulting from harm to life, physical integrity or health, or in cases where the law prohibits any limitation.
#Article 8 – Hyperlinks
The Site may contain links to third-party websites, provided for information purposes. Kodyo has no control over these sites and accepts no liability for their content or practices.
Simple links to the home page or pages of the Site may be created freely, provided they do not harm Kodyo's image and create no confusion as to the origin of the Content. Any other use (framing, reproduction) requires Kodyo's prior written consent.
#Article 9 – Personal data
The processing of personal data collected through the Site is described in our Privacy policy. The Site uses no non-essential cookies.
#Article 10 – Changes to the Terms
Kodyo may amend these Terms at any time, in particular to adapt them to legal or technical developments or to changes in its services. The applicable Terms are those in force at the time the Site is used; the dated version in force is permanently available on the Site. Use of the Site after an amendment constitutes acceptance of the new terms.
#Article 11 – Severability
Should any provision of these Terms be declared void or unenforceable, it shall be deemed unwritten, without affecting the validity of the other provisions.
#Article 12 – Governing law and jurisdiction
These Terms are governed by Belgian law. Any dispute relating to their interpretation, validity or performance falls, failing an amicable settlement, under the exclusive jurisdiction of the courts of the judicial district of Walloon Brabant, without prejudice to the mandatory rules applicable to consumers.
